Terms and Conditions - IRISS International SSbD Community

Below you will find the terms of use for the IRISS International SSbD Community.

1. Scope

By accepting these Terms and Conditions and joining IRISS International SSbD Community, the member is given the opportunity to participate in and contribute to the continued development of IRISS International SSbD Community, as specified herein. Each such member of the IRISS International SSbD Community is referred to as a “Member” below.

2. Names, form, and contact details

(1) The name is IRISS International SSbD Community.

(2) The name of the area for interaction between Members is called IRISS International SSbD Community Platform (referred to as the “Platform” in this document)

(3) IRISS International SSbD Community is a community developed under the Project (as defined below) which was led by IVL Swedish Environmental Research Institute (below “IVL”).

Below, IVL and the individual Member having accepted these Terms and Conditions are also referred to as “party” (individually) and “parties” (together).

3. Background, purpose and aim

IRISS International SSbD Community was founded by certain entities having participated and engaged in the Project as core partners and which have been listed in Appendix 1 (“Founding Members”). IRISS International SSbD Community is led by IVL and managed by IVL and its Founding Members. IRISS International SSbD Community may be further developed – where needed with input from its Members.

IRISS International SSbD Community has been developed within the framework of Horizon Europe project “IRISS - The international ecosystem for accelerating the transition to Safe-and-Sustainable-by-design materials, products and processes” with project number 101058245 (the “Project”).

IRISS International SSbD Community’s purpose is to accelerate the adoption of Safe and Sustainable by Design (“SSbD”) strategies, contributing to the development of criteria and guiding principles in line with European and international initiatives. IRISS International SSbD Community is designed to meet the growing need for knowledge, collaboration, and access to hands-on tools in the field of SSbD. IRISS International SSbD Community provides the structure, expertise, and the network to support advancing in implementing SSbD.

The Community aims at:

  • Promoting collaboration and knowledge-sharing among members via the Platform – which is an interactive online platform.
  • Supporting joint advocacy, research, and innovation in the field of SSbD
  • Informing about the latest scientific findings, industrial development, policy developments, funding opportunities, and emerging trends in SSbD
  • Participating in forums that shape the future of SSbD, both in research and regulation.

4. Organisation

IRISS International SSbD Community’s organisational structure and the rights of Members to participate and to vote in decisions shall be as presented on its website (www.iriss-ssbd.eu External link.).

5. Membership

Membership is free of charge and open to legal and natural persons interested in SSbD.

Members must agree to the purpose and aims of IRISS International SSbD Community.

6. Fees and payments

Members have the option to pay a service fee to receive a selected access level (Standard or Extended access) These service fees are charged annually in advance at the start of each calendar year. Upon payment, the Member receives selected access level for a period of twelve (12) months, valid from January 1 through December 31 of the same year.

The annual service fee for each access level is specified on the IRISS website (www.iriss-ssbd.eu External link.) at the time of registration. These fees may be revised annually by IVL. All fees are stated excluding any applicable VAT.

Payment shall be made according to the instructions provided by IVL. Failure to make timely payment may result in suspension or termination of selected access level.

Unless terminated by the Member or by IVL according to Section 9 below, the access level is considered automatically extended on a yearly basis and invoices will be sent out in advance of the coming calendar year.

Standard and Extended access levels may be terminated according to what is stated below in Section 9.

Service fees already paid are non-refundable.

IVL has the right to make changes to service fees for access levels (Standard and Extended). IVL shall notify the Member in writing at least ninety (90) days in advance of any fee changes.

If the Member does not accept the revised service fees, the Member has the right to terminate its membership as stated in section 9.

7. Admission

(1) Persons apply for Membership via the ‘Become a member’ function on the Platform.

(2) The Membership is granted after:

a. agreeing on these Terms and Conditions;

b. accepting the IRISS’s terms in the document “Processing of personal data”; and

c. agreeing to the IRISS’s “Code of Conduct”,

8. Membership rights and obligations

(1) Each Member is entitled to one User of the Platform. The User can only be a natural person, or employees or other individuals contracted by a legal person being a Member, where the employee or other individual has the same e-mail domain as the relevant legal person being a Member.

(2) Through the Platform, all Users will receive access to:

a. Newsletters;

b. Information about SSbD;

c. Collaboration areas (SSbD hub); and

d. Public material (e.g. documents, articles, recordings of courses and seminars) developed under the Project.

(3) Members that have purchased the Standard access are additionally entitled to:

a. Access to dedicated hubs/spaces within the Platform.

b. Publish events related to SSbD at the Platform calendar;

c. Publish information, other than advertisement, related to SSbD and SSbD purposes;

d. Guidelines about SSbD for your value chain;

e. Training sessions and workshops (limited course portfolio); and

f. A limited number of discount tickets for annual SSbD conference.

(4) Members that have purchased the Extended access are entitled to the Standard access, as well as to:

a. Training sessions and workshops (broader course portfolio);

b. Information on the latest scientific findings;

c. Support on building consortia for projects;

d. Support to tackle SSbD challenges;

e. IRISS International SSbD Community joint voice for SSbD; and

f. Directory of tools for SSbD assessment.

g. One or several Users on the Platform, according to the table below.

(5) All Members shall promote the interests of the IRISS International SSbD Community to the best of their ability and refrain from any action that could cause harm to the reputation and purpose of IRISS International SSbD Community

9. Termination of membership and access levels

(1) These Terms and Conditions enters into force upon digital confirmation on the Platform when becoming a Member for the first time and are valid until the membership is terminated or until updated terms and conditions are provided according to section 15.

(2) Memberships can be terminated by the Member removing its own profile from the Platform, or by the Member sending an e-mail to iriss@ivl.se requesting to be removed from the Platform.

(3) For members that have purchased Standard or Extended access, either Party may terminate the service with thirty (30) days’ written notice before the end of the calendar year (31st of December).

(4) A membership may be terminated if membership duties are neglected, if updates of these Terms and Conditions are not accepted by the Member or in case of the Member’s dishonourable conduct.

(5) A membership user on the platform can be removed if not having been used for 6 months. If so, it is possible for the Member to register a new user.

(6) In case IRISS International SSbD Community ceases to exist, memberships are automatically cancelled, and Standard and Extended access levels are no longer valid and are not entitled to be reimbursed any service fees.

10. User-Generated Content

Unless other ownership can be evidenced, the Member owns the information it uploads to, generates on and/or shares on or via the Platform (“User Content”). The Member is solely responsible for all its User Content, and IVL takes no responsibility for a Member’s User Content, either towards the Member or any third party.

The Member guarantees that it holds the necessary rights to the User Content, either by having created it (e.g., images, videos, or advertisement texts) or by having obtained permission from all contributors to use the User Content on the Platform. The Member guarantees that the User Content does not contain copyrighted material such as music, film, images, logos, or other materials the Member is not authorized to use and that the uploading and/or use of User Content on the Platform does not infringe any third party’s rights.

User Content created by Artificial Intelligence (“AI”) must be clearly marked with “Created by AI”.

The Member also guarantees that any reference to individuals, who are identifiable in the User Content (e.g., in images, videos, or by name), are made in accordance with the terms in the document ”Processing of personal datad GDPR.

11. Intellectual Property Rights

All rights related to IRISS International SSbD Community’s structure and organisation, Platform, databases, website, trademarks and logos and other information created by or for IRISS International SSbD Community, including copyright and all other intellectual property rights, - however excluding User Content – are owned by IVL and/or the Founding Members according to a separate agreement.

12. Competition

The Member undertakes not to, without IVL’s written approval, actively on the Platform market or sell any service that competes with that of IRISS International SSbD Community’s during the term of these Terms and Conditions.

13. Liability

The Member is liable to IVL for damages caused to IVL based on third party claims for compensation due to the Member’s User Content or due to actions by the Member that violate these Terms and Conditions, applicable law, or third-party rights.

The Platform is provided “as is,” and although IVL strives to ensure that the Platform is accessible, secure, complete, and free from interruptions, IVL cannot guarantee that this will always be the case.

IVL intends to keep the information on the Platform up to date and accurate but makes no representations or warranties that this will always be the case.

IVL is not liable for any errors or damages that may arise from the use of the Platform, whether towards the Member, users, or third parties. The Member is solely responsible for ensuring that their computers are adequately protected against viruses and other threats.

IVL is not responsible for damages to the Member caused by faults or deficiencies in Users’ equipment used to access the Platform.

IVL is not liable for any indirect damages, such as loss of profit, production downtime, etc. IVL is not liable for consequential damages or third-party damages.

IVL’s total liability under this Agreement in relation to one Member shall not exceed the amount of the annual Service fee for access levels paid by said Member. As far as legally permitted according to applicable law, IVL shall not be liable to Members not paying any Service fee.

14. Information Transfer and Confidentiality

IVL has the right to use User Content in aggregated and anonymized form. The Member grants IVL unlimited rights to freely use published User Content, to achieve broader dissemination of IRISS International SSbD Community.

All information regarding IRISS International SSbD Community, its structure, functions, and any upcoming changes or developments not publicly disclosed by IVL, constitutes ILV’s confidential information. The Member agrees not to disclose such information to third parties and to ensure that its Users, employees and hired assistants do not forward confidential information to outsiders. This obligation applies during the time of being a Member and for three (3) years thereafter.

15. Amendments

Amendments regarding fees and payments are described in Section 6.

Changes to the Terms and Conditions may be made without notice, and users must accept the updated terms to continue accessing and using Platform.

16. Assignment

Neither IVL or a Member may assign its rights or obligations under these Terms and Conditions, in whole or in part, without the prior written consent of the other party.

Notwithstanding the above, IVL has the right to assign rights and/or obligations under these Terms and Conditions to a legal entity that is directly or indirectly owned or controlled by IVL.

The Member’s rights and obligations according to these Terms and Conditions, may not be transferred or sublicensed to another party.

17. Settlements of disputes

The parties shall endeavour to settle their disputes amicably.

All disputes arising out of or in connection with these Terms and Conditions, which cannot be solved amicably, shall be finally settled by arbitration in accordance with the Rules for Expedited Arbitrations of the SCC Arbitration Institute. The place of arbitration shall be Stockholm, Sweden, if not otherwise agreed upon by the conflicting parties. The language to be used in the arbitral proceedings shall be English unless otherwise agreed upon by the conflicting parties. The award of the arbitration will be final and binding upon the parties.

Nothing in these Terms and Conditions shall limit the parties' right to seek injunctive relief in any applicable competent court.
